Definitions

"Access" means access to Planet Retail whether for reading information or posting new information thereon.

"Information" means each and every piece of information on Planet Retail at any given time.

"Password" means the code given to a subscriber as a means of identity in order for that subscriber to access Planet Retail or any area within Planet Retail.

"Software" means the programs supplied to you by the Company (if any) that can be used with a particular computer system.

"the Company" means Planet Retail Limited (Company number 399 4702), a company registered under the laws of England and Wales whose registered office is at 66 Wigmore Street, London W1H OHQ.

"Subscriber" means any legal person who has paid a current subscription to the Company.

"Subscription" means an annual fee of such amount and payable on such terms as prescribed by the Company's tariff from time to time, which permits the Subscriber access to Planet Retail.

Main Terms

• grants you a licence to use the Software for the purpose of accessing Planet Retail; and

• permits you access to Planet Retail using the Software (and such password as the Company from time to time provides) for the purposes of:

• You may use the Software as Licensee for so long as you are a Subscriber and solely for the purpose provided in these terms and conditions.

• You may not add to or alter the Software, in any fashion.

• Whilst the Company will monitor Planet Retail regularly it will not be possible for the Company to check each piece of Information. Unless therefore Information is clearly identified as originating from the Company, the Company can accept no responsibility for any Information including, without limit, responsibility for its accuracy, the quality and fitness for purpose of any goods therein described and for copyright compliance.

• If you intend to rely on any Information (in circumstances where you may suffer financial loss in the event of that Information proving inadequate or incorrect) you do so at your own risk. You are STRONGLY ADVISED to obtain confirmation of the accuracy of the Information in question before relying on it.

• The Company reserves the right

• Any password given to a Subscriber is for the use of that Subscriber only and shall be kept confidential. Any unauthorised publication of a password to a third party shall be considered a breach of these terms and conditions and Planet Retail reserves the right to take appropriate action consequent upon such a breach. Planet Retail reserves the right to change passwords at any time upon giving reasonable notice to Subscribers.

• Subject always to the Company's rights under clause 4 above, you may place new Information on Planet Retail only where and as permitted by the Company from time to time. You may not post (or transmit):

• You agree to indemnify the Company against all liabilities, costs, claims and expenses, which the Company may suffer in consequence of:

• You acknowledge that in establishing Planet Retail the Company is under no obligation to maintain the same and gives no warranties either that Planet Retail will remain uninterrupted and error free or in relation to the Information.

• You further acknowledge that Planet Retail is intended to operate along mutual lines for the collective benefit of all involved in the retail industry and that therefore in the event of your being dissatisfied with Planet Retail in any way and for any reason your remedy against the Company is limited to ceasing to subscribe to Planet Retail (which you may do at any time on notice to the Company).

• The Company puts you on notice that it cannot guarantee the security of your credit card or other payment mechanism information you use for making purchases on Planet Retail, although reasonable efforts will be made to so protect your rights.

• You are responsible for checking the veracity of credit card/other payment mechanism information provided to you by a purchaser from you.

• You agree to the Company making such amendments to these terms and conditions from time to time as the Company considers appropriate or necessary in light of the use of, or the demands being placed on, Planet Retail.

• Planet Retail may change charges for all services at any time.

• The clause and subject headings in these terms and conditions are designed for convenience and ease of reference only.

• Failure to enforce or forbearance in enforcing these terms and conditions by the Company shall not constitute a waiver either of the Company's rights or the Subscriber's obligations and/or liabilities hereunder.

• This agreement shall be governed by and construed in accordance with the laws of England and Wales and subject to the non-exclusive jurisdiction of the courts thereof.
